Introduction

Welcome to Fizen.io. The Fizen Platform is operated by Fizen (“Fizen”, “we”, “us”, or “our”) and is accessible via our website, mobile application, and any linked applications.

We provide the following services (collectively, the “Services”): (i) Fizen Wallet — a decentralized non-custodial digital wallet; (ii) Fizen Pay — a crypto payment gateway; (iii) Fizen Card — a USDT-funded USD Visa prepaid card; (iv) Fizen QR Pay — a QR-based crypto payment solution; and (v) other related services.

By registering an account or using any Service, you confirm you have read, understood, and agreed to these Terms. If you do not agree, stop using the Platform immediately.

We may update these Terms at any time. Continued use after changes are posted constitutes acceptance. Review these Terms regularly.

By using our Services, you confirm that:

• You are at least 18 years old with full legal capacity, or authorized to bind a legal entity to these Terms

The Services

Fizen Wallet (Non-Custodial Digital Wallet)

A decentralized wallet that lets you create wallet addresses, send, receive, store, exchange, and manage Digital Assets; interact with dApps; pay for products and services; and exchange fiat for crypto via integrated third-party providers.

Important: You are solely in control of your wallet and all assets in it. Fizen cannot access, freeze, or interfere with your wallet or transactions. If you lose your private key, Fizen cannot recover it.

Fizen Pay (Crypto Payment Gateway)

A payment gateway for merchants to accept crypto, track payments, and withdraw Digital Assets. Requires registration with a valid email. A non-custodial wallet is created for your payment smart contract.

Fizen Card (USD Visa Prepaid Card)

A USD Visa prepaid card funded by USDT or USDC — spend anywhere Visa is accepted, online and in-store. Card issuance is subject to KYC requirements and geographic restrictions. Fizen is not liable for declined transactions due to insufficient balance.

Fizen QR Pay (USDT QR Payment)

A QR-based payment solution currently available in Vietnam and the Philippines. Lets you pay at participating merchants in local currency using your USDT balance. Exchange rates are disclosed at time of payment. Fizen is not responsible for the quality of goods or services from participating merchants.

Other Services

Fizen connects you with crypto partners offering P2P marketplaces and on/off-ramp tools. All P2P and on/off-ramp processes — including AML and KYC compliance — are handled by our partners, not by Fizen.

Users Account & Responsibilities

Account Registration

You must keep all account information accurate, current, and complete. Keep your password confidential. You are solely responsible for all activity under your account. Notify us immediately if you suspect unauthorized access.

We may suspend or disable your account if you breach these Terms, damage our Services, or if required by law.

Identity Verification (KYC)

You must provide accurate identification documents when registering. Update information promptly if it changes. Failure to provide required information may result in account suspension or service restriction.

Your Use and Representations

By using the Services, you agree that:

• Your use does not violate any applicable laws
• All information you provide is accurate and complete
• You will comply with these Terms and all applicable laws

Prohibited Acts — you must not:

• Use the Platform for unauthorized, illegal, or fraudulent purposes including money laundering, terrorist financing, illegal gambling, or weapons trading
• Access other users’ accounts or use another person’s account information
• Use Platform information to harm, abuse, or defraud any person
• Circumvent, disable, or interfere with Platform security features
• Upload viruses, malware, Trojans, or other harmful software
• Copy, modify, or create derivative works of the Services without consent
• Distribute, license, transfer, or sell any part of the Services without authorization
• Use the Services for spam, unsolicited advertising, or solicitation
• Interfere with the proper functioning of the Platform or connected networks
• Appear on any trade embargo or economic sanctions list including the UN Security Council Sanctions List, U.S. OFAC Specially Designated Nationals List, or U.S. Department of Commerce Denied Persons List

Violations may result in immediate account suspension or termination, asset freeze, removal of content, or reporting to relevant authorities.

Account Security

You are solely responsible for safeguarding your account. Change your password regularly. Report suspicious activity immediately. Fizen will never ask for your password.

Fees and Payment

Fizen reserves the right to charge service fees, communicated via Platform notices or account messages. You agree to pay all applicable fees before using the relevant Services. Fees may be adjusted at any time.

API Limitation

We grant you a limited, personal, non-transferable, revocable license to access our APIs to support your use of the Services. We may limit or reject API access if usage exceeds thresholds, is inconsistent with these Terms, or violates applicable laws. Fizen is not liable for damages arising from API limitations.

Termination

Your account may be terminated:

• By Fizen: for serious breach of these Terms; if required by court or authority; or if you (as an entity) have ceased operations or entered insolvency proceedings
• By you: at any time upon request

Upon termination, your right to use the Services ceases immediately. If a remaining balance exists in your Fizen Wallet, contact us to request recovery, unless prohibited by law or court order. You remain liable for all transactions made while your account was open.

Third-Party Sites & Services

The Platform may include links to third-party websites or integrations. Fizen is not the provider of those offerings and has no control over them. Use of Third-Party Sites and Services is at your own risk.

Intellectual Property

All Fizen Platform content — including APIs, source code, software, designs, graphics, trademarks, and logos — is proprietary to Fizen and protected by intellectual property laws. You may not copy, reproduce, distribute, sell, or commercially exploit any part without express prior written permission.

Limited License: You are granted a limited, non-exclusive, non-transferable license to view and use the Platform solely for permitted personal use.

User Content: By submitting content to the Platform, you grant Fizen the right to use, modify, reproduce, and distribute that content as necessary to provide the Services. You are solely responsible for all content you submit.

Disclaimers

Fizen has no control over and no duty to act regarding:

• Failures or delays in processing Digital Assets
• Hardware, software, or internet failures
• Malicious software introduced into the Services
• Unauthorized third-party access to your account
• Other unexpected risks during use of the Platform

By using the Services, you release Fizen from all liability relating to the above.

Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Fizen and its subsidiaries, affiliates, officers, directors, agents, employees, and lawyers from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: your use of the Platform; your breach of these Terms; your violation of any law or third-party rights; or your negligent or willful misconduct.

Limitation of Liability

To the fullest extent permitted by law, Fizen and its affiliates shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or compensatory damages of any kind arising from: your use of or inability to use the Platform; unauthorized access to your data; third-party conduct on the Platform; technical malfunctions or service interruptions; or any other matter relating to the Platform or Services.

Aggregate Liability Cap: Fizen’s total aggregate liability shall not exceed USD 1,000 or its equivalent in local currency.

Taxation

You are solely responsible for reporting and paying any taxes arising from your use of the Services, as required by the laws of your jurisdiction.

Miscellaneous

Notices: Delivered via Platform posting, account message, or registered email. It is your responsibility to keep contact information current.

Severability: If any provision is found unenforceable, remaining provisions remain in full force.

No Waiver: Failure to enforce any right does not constitute a waiver.

Assignment: We may assign these Terms at any time. You may not assign without our prior written consent.

Force Majeure: Fizen is not liable for failures caused by events beyond our reasonable control, including acts of God, terrorism, war, labor disputes, cyber-attacks, natural disasters, pandemics, or government orders.

Governing Law: These Terms are governed by the laws of Hong Kong.

Dispute Resolution: Disputes shall be resolved by arbitration under the Singapore International Arbitration Centre (SIAC) rules. Place of arbitration: Singapore. Language: English.

Language: These Terms are in English. In case of inconsistency with any translation, the English version prevails.
