Fizen Promotions Master Terms

These Fizen Promotions Master Terms (the “Promotions Master Terms”) set out the framework applicable to all promotional campaigns Fizen offers (each, a “Campaign”). Each Campaign is also subject to its own Campaign Rules, which specify the period, eligibility, qualifying activity, reward and other Campaign-specific details. The Promotions Master Terms supplement, and form part of, the Fizen Master Terms of Use, and operate together with the Fizen Rewards Program Terms in respect of FiPoint-denominated rewards.

1. Definitions

References in any Campaign Rules to a Reward in $FIZEN are governed by clause 4 of these Promotions Master Terms and clause 6.4 of the Rewards Program Terms.
Campaigna specific promotional offer made available by Fizen, identified by name and subject to its own Campaign Rules.
Campaign Periodthe period during which a Participant may perform a Qualifying Activity to earn a Reward.
Campaign Rulesthe specific terms applicable to a particular Campaign, including the Campaign Period, eligibility criteria, Qualifying Activity, Reward, caps and any additional conditions.
FiPointthe rewards unit operated under the Fizen Rewards Program. References elsewhere to ‘Fizen Points’ or ‘Points’ shall be construed as references to FiPoint.
Participanta user of the Fizen Platform who is eligible for a Campaign and who participates in accordance with the Campaign Rules.
Pre-Launch $FIZEN Allocationhas the meaning given in clause 6.4 of the Rewards Program Terms.
Qualifying Activitythe action a Participant must complete during the Campaign Period to earn the Reward.
Rewardthe benefit a Participant earns for completing a Qualifying Activity (e.g., a Card issuance fee refund, an amount of FiPoint, a fee discount, a voucher, or a Pre-Launch $FIZEN Allocation under clause 4).
SponsorFizen Limited, unless a different entity is identified as Sponsor in the Campaign Rules.

2. General Eligibility

To participate in any Campaign, you must satisfy all eligibility requirements in clause 5 of the Fizen Master Terms of Use, hold an active Fizen account in good standing with KYC at the level required, be a natural person (unless a Campaign expressly states otherwise), be habitually resident in a jurisdiction in which the Campaign is offered, and satisfy any additional eligibility criteria in the Campaign Rules. Fizen employees, contractors and their immediate family members are not eligible unless expressly stated.

3. Participation, Validation and Reward Delivery

Performing a Qualifying Activity makes you provisionally eligible for the Reward. Fizen validates and delivers the Reward within the time stated in the Campaign Rules. Fizen may delay or withhold pending validation, KYC re-verification, AML/sanctions checks, or fraud investigation.

4. Rewards in $FIZEN and Pre-Launch $FIZEN Allocations

Important — read clause 6.4 of the Rewards Program Terms before designing or accepting any Reward denominated in $FIZEN. Where a Campaign offers a Reward in $FIZEN, the Reward is delivered (where the Participant is eligible) as a Pre-Launch $FIZEN Allocation under, and is governed by, clause 6.4 of the Rewards Program Terms. The Participant does not receive any $FIZEN token at the time of Reward delivery; the Participant receives a record entry only. Distribution of actual $FIZEN tokens is intended to occur upon the Token Generation Event (TGE), subject to Fizen’s reserved rights set out in clause 6.4(d) of the Rewards Program Terms — including, without limitation, Fizen’s right to change conversion ratios, delay or cancel TGE, restrict distribution by jurisdiction, substitute equivalent value, or impose additional eligibility at TGE. $FIZEN-denominated Rewards (including Pre-Launch $FIZEN Allocations) are not available to U.S. Persons, residents of restricted jurisdictions, sanctioned persons, or any other person whose receipt would be unlawful or contravene the Rewards Program Terms.

5. No Investment Solicitation

Nothing in any Campaign, marketing communication or Reward is, or should be construed as, investment, financial, tax or legal advice, a recommendation to acquire, hold or dispose of any Digital Asset (including $FIZEN), a solicitation to buy or sell any security, or a financial promotion that is not in compliance with Applicable Law in your jurisdiction.

6. Fraud, Abuse and Anti-Gaming

Prohibited: creating multiple accounts; using false, stolen or other identities; colluding with Members, Merchants or third parties; structuring transactions whose primary purpose is to qualify; exploiting bugs or undocumented behaviour; using bots, scripts or automation; any other activity inconsistent with the spirit of the Campaign. Fizen may investigate, suspend or terminate participation, withhold, reverse or recover Rewards (including FiPoint and Pre-Launch $FIZEN Allocations), refuse future participation, and report to authorities. Fizen’s decision is final.

7. Reservation of Rights — Modification, Suspension and Termination

Fizen may modify the Campaign Rules of any Campaign at any time. Material adverse changes take effect no earlier than seven (7) days after Fizen has notified affected Participants by in-app notification, except where immediate change is required by law, regulator, court, sanctions, security incident, force majeure or to prevent fraud. Fizen may suspend or terminate any Campaign at any time, including before the stated end of the Campaign Period. Fizen may disqualify Participants who have breached these Promotions Master Terms, the Campaign Rules, the Fizen Master Terms of Use, the Rewards Program Terms or Applicable Law, and may decline or revoke Rewards (including Pre-Launch $FIZEN Allocations) issued in error, in breach, or as a result of fraud or system fault.

8. Tax

Participants are solely responsible for any tax (income, capital gains, VAT, GST, transaction tax) arising from receiving a Reward, including any Pre-Launch $FIZEN Allocation and any subsequent receipt of $FIZEN tokens at TGE. Tax may arise at multiple points (Reward earning, redemption, TGE, transfer). Fizen may, where required, withhold tax, report Rewards to tax authorities and issue tax forms (e.g., Form 1099 for U.S. taxpayers, or successor — although U.S. Persons are excluded from $FIZEN-related Rewards).

9. Privacy and Public Announcement

Fizen processes Participants’ Personal Data in connection with each Campaign in accordance with the Fizen Privacy Policy. For certain Campaigns, Fizen may publicly announce winners or top Participants (leaderboards, hall of fame). Where Applicable Law requires opt-in, Fizen will obtain consent or use an anonymised identifier.

10. Disclaimers and Limitation of Liability

CAMPAIGNS AND REWARDS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. FIZEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
To the maximum extent permitted by Applicable Law, Fizen and its Affiliates shall not be liable for loss arising from any Campaign, including loss of expected Rewards (including loss of expected $FIZEN distribution where TGE does not occur or where Fizen exercises its reserved rights), modification, suspension or termination, technical failures, eligibility miscalculations, tax consequences or third-party act/omission. Fizen’s aggregate liability shall not exceed the fair-market value of the Reward at the time of dispute, capped at USD 250 (or local equivalent). Nothing limits any liability that cannot be limited by Applicable Law.

11. Order of Precedence

In the event of conflict between (a) the Campaign Rules of a Campaign, (b) these Promotions Master Terms, (c) the Fizen Rewards Program Terms (in respect of FiPoint and Pre-Launch $FIZEN Allocations), and (d) the Fizen Master Terms of Use, the order of precedence (highest first) is: Campaign Rules > Promotions Master Terms > Rewards Program Terms > Master Terms of Use.

12. General

The provisions of the Fizen Master Terms of Use (including dispute resolution, governing law, class-action and jury-trial waiver, notices and miscellaneous) apply to all Campaigns.
