1. Definitions
Capitalised terms used and not defined in these Program Terms have the meanings given in the Fizen Master Terms of Use. In addition:| Term | Meaning |

A Pre-Launch $FIZEN Allocation is NOT a $FIZEN token, NOT property, NOT a security, and is subject to Fizen’s reserved rights described in clause 6.4(d). |

2. Eligibility and Enrolment
To join the Program you must satisfy all eligibility requirements in clause 5 of the Fizen Master Terms of Use, hold an active Fizen account in good standing with KYC at the level required, be a natural person, be habitually resident in an eligible jurisdiction, accept these Program Terms, and not have been previously suspended or terminated. Fizen employees and their immediate family members are not eligible unless expressly stated. Participation is voluntary. FiPoint is awarded as a promotional benefit only and does not form part of any commercial bargain for which you have paid consideration.3. Nature of FiPoint

3.1 Promotional benefit only
FiPoint is a promotional benefit Fizen makes available to eligible Members at Fizen’s sole discretion. FiPoint is recorded in your Program account in the Fizen app for tracking purposes only.3.2 No value, no property, no entitlement
FiPoint has no cash value. FiPoint is not money, electronic money, a deposit, a financial instrument, a security, a virtual currency, a stablecoin, a payment instrument, a stored-value instrument, a gift card, a commodity or any other regulated product. FiPoint does not create any proprietary or ownership interest in favour of the Member, does not represent any equity, debt, dividend, distribution or claim against Fizen, its Affiliates, $FIZEN or any other person, and does not entitle the Member to any return, profit or capital appreciation.3.3 No expectation of profit
You acknowledge that you do not earn or redeem FiPoint with any expectation of profit derived from the entrepreneurial or managerial efforts of Fizen or any third party, including in respect of any future distribution of $FIZEN under clause 6.4. Fizen does not represent that FiPoint will retain value, increase in value, or be redeemable for items of any particular value over time.3.4 Non-transferable
FiPoint is personal to the Member who earned it. FiPoint may not be sold, transferred, assigned, gifted, exchanged, pledged, bequeathed, charged or used as collateral. Any attempt is null and void and may result in forfeiture and termination.3.5 No conversion to fiat or crypto
FiPoint cannot be redeemed for, or withdrawn as, fiat currency or cryptocurrency, except as expressly set out in clause 6. Even where clause 6.4 allows redemption to a Pre-Launch $FIZEN Allocation, the Allocation is not itself a token, fiat or crypto and conveys no immediate right to fiat or crypto.3.6 Records and balances
Fizen’s records of FiPoint balances, transactions and redemptions are conclusive in the absence of manifest error. If you believe a recorded balance is wrong, you must contact Fizen within thirty (30) days; otherwise the balance is deemed correct.4. Earning FiPoint
Fizen may, in its sole discretion, allow Members to earn FiPoint by undertaking Eligible Activities including: eligible transactions (Card, QR Pay, in-Wallet swap); eligible referrals; promotional campaigns; achieving and maintaining Tiers; completing identity verification, security upgrades and other onboarding activities. Earning rates, qualifying thresholds, eligible products, eligible currencies, eligible Merchant Category Codes and geographic restrictions are set by Fizen and listed in the Fizen app. Fizen may change these prospectively. The following are NOT eligible activities unless expressly designated otherwise: (a) fees, taxes, network fees, gas fees; (b) refunded, reversed, cancelled, voided or disputed transactions; (c) transactions in violation of the Fizen Master Terms of Use, these Program Terms or Applicable Law; (d) transactions with related-party Merchants, the Member’s own accounts or accounts of family members where structured to generate FiPoint; (e) wash transactions, round-trip transactions, or transactions whose primary purpose is to earn FiPoint; (f) transactions undertaken while the Member is under sanctions or AML investigation; or (g) any other activity Fizen designates as excluded. FiPoint is normally credited within seventy-two (72) hours of the qualifying activity, but may be delayed where settlement is pending, where verification is required, or where Fizen suspects fraud or breach.4.1 Excluded Merchant Category Codes (MCCs)
Certain Card transactions are not eligible to earn FiPoint (whether under the base earning rate, a promotion or a campaign) regardless of whether they would otherwise satisfy the Qualifying Criteria. A transaction is excluded if the Merchant Category Code (“MCC”) assigned to it by the Visa network falls within an excluded category. The following categories of transactions are excluded from FiPoint eligibility: (a) Cash-equivalent transactions, including ATM withdrawals, manual cash disbursements, wire transfers, money orders, traveller’s cheques and quasi-cash transactions; (b) Financial services and money-movement transactions, including person-to-person (P2P) transfers, stored-value card loads, digital wallet funding, brokerage or investment account funding, and purchases of cryptocurrency or other virtual assets; (c) Gambling, betting and lottery transactions, including any transaction with a merchant primarily engaged in gambling, sports betting, casino operations, or lottery services; (d) Government payments, including tax payments, government fines and penalties, bail and bond payments, and government-administered loan repayments; and (e) Insurance premium payments, including payments to insurance companies or intermediaries for any class of insurance product. The categories above are illustrative and not exhaustive. Fizen reserves the right, in its sole discretion and without prior notice, to exclude additional MCCs or MCC categories from FiPoint eligibility at any time. The current list of excluded MCCs is published in the Fizen app under the Rewards Program section and is incorporated into these Terms by reference as Schedule A (MCC Exclusion List). It is the Member’s responsibility to review the Schedule A exclusion list prior to making any Card transaction for which FiPoint eligibility is material. Fizen determines MCC classification by reference to the merchant identifier and transaction data reported by the Visa network. If a merchant has been mis-coded by the network, the network’s classification controls — Fizen will not retroactively credit FiPoint based on the merchant’s actual business activity.5. Expiry and Forfeiture
Unless otherwise stated for a campaign, FiPoint expires one (1) month after the date credited. Expired FiPoint is forfeited and cannot be reinstated. Fizen may, but is not obliged to, send a courtesy reminder before expiry. All FiPoint (and any Pre-Launch $FIZEN Allocation) is immediately forfeited upon: termination, suspension or closure of your Fizen account for any reason; breach of these Program Terms or the Fizen Master Terms of Use; fraud, abuse, manipulation or gaming of the Program; violation of Applicable Law (AML, sanctions, tax); absence of any qualifying activity for twelve (12) consecutive months; Fizen’s reasonable suspicion that the Member is on a sanctions list or is otherwise prohibited; and termination of the Program in accordance with clause 11. Fizen may at any time reverse, void, recover or claw back FiPoint (and any Pre-Launch $FIZEN Allocation derived from it) credited (a) in error, (b) as a result of system fault, (c) for transactions later refunded, reversed, voided or charged back, (d) for transactions that were fraudulent or in breach, or (e) for transactions that were the subject of a chargeback. If your FiPoint balance is insufficient, Fizen may set off against any other balance you hold.6. Redeeming FiPoint and Rewards
6.1 Redemption options
Subject to availability, eligibility, redemption thresholds and any restrictions stated in the Fizen app, FiPoint may be redeemed for the following categories of Rewards:- Fee discounts on Fizen Services (Card fees, QR Pay fees, Pay merchant fees, in-Wallet swap fees, etc.);
- Vouchers and gift cards issued by Partners, including merchant gift cards and digital vouchers, made available through the Fizen Marketplace;
- Fizen-branded or Partner-branded merchandise and experiences;
- Subscriptions to Fizen Tier benefits or third-party services;
- Charitable donations to selected non-profit organisations; and
- A Pre-Launch $FIZEN Allocation, subject to the additional terms in clause 6.4.
6.2 Redemption values
The amount of FiPoint required for any Reward is set by Fizen and may vary by Reward, Member, Tier, jurisdiction, time and any other factor. The redemption value of a FiPoint is disclosed in the Fizen app at the time of redemption. Fizen may change redemption values at any time, prospectively (subject to clause 11).6.3 Vouchers, gift cards and Partner Rewards
Vouchers, gift cards and other Partner Rewards are subject to the Partner’s own terms (expiry, geographic restrictions, refund/return policies). Fizen is not the supplier and does not warrant the underlying product. Recourse for Partner Reward issues is against the Partner; Fizen may, as a courtesy, assist.6.4 Redemption for Pre-Launch $FIZEN Allocation
| Important — please read this clause in full before redeeming any FiPoint for $FIZEN.$FIZEN has not been launched. When you redeem FiPoint for $FIZEN, you do not receive any $FIZEN token. You receive a record entry called a Pre-Launch $FIZEN Allocation, which is subject to Fizen’s reserved rights set out below. $FIZEN may never launch. If it does, its value may be zero or near zero, and the actual amount of $FIZEN you receive may be more or less than the amount currently displayed against your Allocation. |

- change the conversion ratio between FiPoint and Pre-Launch $FIZEN Allocation prospectively (changes apply to redemptions made after the change);
- change the conversion methodology by which Pre-Launch Allocations translate into $FIZEN tokens at TGE;
- delay TGE indefinitely;
- cancel TGE entirely and discontinue the $FIZEN project, in which case Pre-Launch Allocations will be cancelled without further compensation, except (and only to the extent) Fizen elects to substitute equivalent reward in its sole discretion (which may include a return of FiPoint, fee credits or other Rewards);
- restrict distribution by jurisdiction (including by excluding distribution to additional jurisdictions identified after the date of these Program Terms);
- substitute equivalent value (return of FiPoint, fee credit, another Reward) in lieu of $FIZEN distribution, if Fizen reasonably concludes that distribution of $FIZEN to a Member would be unlawful, impracticable, or expose Fizen to material risk;
- impose additional eligibility requirements at TGE (including enhanced KYC, accredited-investor or professional-investor verification, tax-residency confirmation, source-of-funds documentation);
- decline to deliver $FIZEN to any person if delivery would, in Fizen’s reasonable opinion, violate Applicable Law or scheme rules, expose Fizen to regulatory, criminal or material reputational risk, or contravene any court order, sanctions designation or regulatory direction;
- cancel, void, claw back or recalculate Pre-Launch Allocations attributable to fraud, abuse, manipulation, breach of these Program Terms or breach of Applicable Law; and
- structure the post-TGE distribution to comply with vesting, lockup, transfer restriction or holding-period requirements as Fizen considers necessary or desirable.
- U.S. Persons (as defined in Regulation S under the U.S. Securities Act of 1933, as amended);
- residents of any jurisdiction in which the offer, sale or distribution of $FIZEN or analogous tokens is not lawful or in which Fizen has determined not to offer them (as identified in the Fizen app from time to time);
- persons on any sanctions or restricted-party list;
- persons who would not satisfy investor-eligibility requirements that may apply at TGE (such as accredited-investor or professional-investor categories).
- you are not redeeming with any investment intent, and you do not expect a profit derived from the entrepreneurial or managerial efforts of Fizen or any third party;
- you understand that $FIZEN may never launch, that TGE may be delayed or cancelled, and that even if TGE occurs the actual amount of $FIZEN distributed to you may be less than (including zero) or different from the amount currently displayed against your Allocation;
- you understand that the conversion ratio displayed at redemption may be changed prospectively, that the conversion methodology at TGE is subject to change, and that the value of $FIZEN, if launched, may be zero or near zero;
- you are eligible under clause 6.4(e) and you are not redeeming on behalf of, or for the benefit of, any ineligible person;
- your redemption complies with Applicable Law in your jurisdiction;
- you are not relying on any statement, representation, warranty or other inducement made by Fizen other than as expressly set out in these Program Terms and any additional terms Fizen may publish in connection with the launch of $FIZEN (if and when published);
- you have read and understood the risk disclosures in clause 6.4(g).
- $FIZEN may never launch. If TGE does not occur, Pre-Launch Allocations will be cancelled and (except to the extent Fizen elects in its sole discretion to substitute equivalent reward) you will receive nothing in return for the FiPoint you redeemed.
- Even if $FIZEN launches, its market value may be zero or near zero. There is no guarantee that any market for $FIZEN will develop or persist.
- Conversion ratio risk. The conversion ratio Fizen displays in the app at redemption may change prospectively. The conversion methodology Fizen applies at TGE may differ from the ratio displayed at redemption.
- Vesting, lockup and transfer-restriction risk. $FIZEN you receive at TGE may be subject to vesting, lockup or transfer restrictions that prevent or delay your ability to sell or use it. The duration, conditions and economics of any such restrictions will be set out by Fizen at or before the time of TGE.
- Regulatory risk. The legal characterisation of $FIZEN, of Pre-Launch Allocations, and of the post-TGE distribution is uncertain and changing. Regulators may at any time take action that prevents, delays, modifies or unwinds any aspect of $FIZEN, the distribution mechanism or the Allocation. Fizen may be required by Applicable Law to alter the distribution mechanism (including by excluding additional jurisdictions, imposing additional eligibility, withholding amounts for tax, or paying equivalent fiat value in lieu of tokens).
- Eligibility risk. You may cease to be eligible to receive $FIZEN between redemption and TGE distribution. In that case, your Allocation may be forfeited.
- Smart contract and network risk. If $FIZEN is launched, the contract, blockchain network and any custodial infrastructure may experience bugs, failures, exploits or congestion that delay or prevent your receipt of $FIZEN.
- Tax risk. The tax treatment of FiPoint redemption to a Pre-Launch Allocation, of the Allocation itself, and of the eventual receipt of $FIZEN is uncertain and depends on Applicable Law in your jurisdiction. You are solely responsible for assessing and paying any tax. Tax may arise at the time of redemption, at TGE, or at any other time, and may exceed any value you ultimately receive.
- No advice. Nothing in this clause 6.4 or in the Fizen app constitutes investment, financial, tax, legal or accounting advice or a recommendation to redeem FiPoint for a Pre-Launch Allocation.
- No insurance. Pre-Launch Allocations and any $FIZEN distributed at TGE are not insured by any deposit-protection, investor-protection or analogous scheme.
6.5 Discretion to refuse redemption
Fizen may refuse, delay, restrict or reverse any redemption (including a redemption to a Pre-Launch $FIZEN Allocation) if Fizen reasonably suspects fraud, abuse, breach of these Program Terms, sanctions or AML risk, or any other circumstance Fizen considers material.6.6 No refunds of redeemed FiPoint
Once redeemed, FiPoint cannot be reinstated, refunded or exchanged for other Rewards, except (a) where Applicable Law requires otherwise or (b) in Fizen’s sole discretion as a customer-service matter.7. Tiers and Tier Benefits
Fizen may operate a tiered structure (Bronze, Silver, Gold, Platinum, or analogous) within the Program. Tier allocation, qualification, retention, downgrade rules and Tier benefits are set by Fizen and disclosed in the Fizen app. Fizen may add or remove Tiers, change qualification thresholds, and add or remove benefits prospectively. Tier status is personal, non-transferable, and creates no contractual entitlement beyond benefits Fizen has confirmed in writing for a stated period.8. Fraud, Abuse and Anti-Gaming
Prohibited: creating multiple accounts; using false, stolen or other identities; colluding with Members, Merchants or third parties; structuring transactions whose primary purpose is to earn FiPoint or Pre-Launch Allocations; exploiting bugs, faults or undocumented behaviour; using bots, scripts or automation; any other activity inconsistent with the spirit of the Program. Fizen may investigate, suspend or terminate participation, reverse FiPoint and Pre-Launch Allocations, refuse to honour Rewards or to deliver $FIZEN, reverse already-issued Rewards (including by recovering equivalent value), set off against other balances, and report to law enforcement. Fizen’s decision is final.9. Tax
You are solely responsible for any tax arising from earning, holding, redeeming or forfeiting FiPoint, Rewards, Pre-Launch Allocations or $FIZEN tokens (if and when distributed). Tax may arise at multiple points (earning, redemption, TGE, transfer, sale). Fizen does not provide tax advice. Fizen may, where required by Applicable Law, withhold tax, report to tax authorities, and issue tax forms (including Form 1099 or successor for U.S. taxpayers — although U.S. Persons are excluded from the Program insofar as concerns Pre-Launch $FIZEN Allocations).10. No Investment, Tax or Legal Advice
Nothing in the Program — including the availability of $FIZEN redemption and the Pre-Launch Allocation mechanic, Tier benefits, Partner Rewards, marketing communications, in-app messaging or educational content — constitutes investment, financial, tax, legal or accounting advice or a recommendation to acquire, hold or dispose of any Digital Asset (including $FIZEN), to use any Service, or to engage in any transaction.11. Modification, Suspension and Termination of the Program
Fizen may modify any aspect of the Program — earning rates, redemption values, eligibility, Tier structures, available Rewards, expiry rules, the $FIZEN redemption pathway, the conversion ratio, the TGE timing, and these Program Terms — at any time. Non-material changes take effect on posting. Material adverse changes take effect no earlier than fourteen (14) days after Fizen has notified affected Members. Notwithstanding the foregoing, changes to the conversion ratio, the TGE timing, the conversion methodology at TGE, and any eligibility for $FIZEN distribution may take effect with immediate or shorter notice where required by Applicable Law, by regulator action, or to prevent fraud or material risk to Fizen. Fizen may suspend or terminate the Program in whole or in part at any time — with thirty (30) days’ prior notice for routine termination, or immediately where required by law, regulator, court, sanctions, security incident, force majeure or to prevent fraud. Upon termination, earning of new FiPoint ceases; Members are given a redemption window of no less than thirty (30) days for non-$FIZEN Rewards; at the end of the window, unredeemed FiPoint is forfeited without compensation. Pre-Launch Allocations are subject to clause 6.4(d). Participation does not create any vested or contractual right to continued FiPoint earning, continued Tier status, continued availability of any Reward (including Pre-Launch Allocation redemption or any $FIZEN distribution), or continued operation of the Program.12. Suspension or Termination of a Member’s Participation
Fizen may suspend, restrict or terminate any Member’s participation at any time, with or without prior notice, for breach of these Program Terms, the Fizen Master Terms of Use, any Product Schedule, Applicable Law or Program integrity. Upon termination, outstanding FiPoint and Pre-Launch Allocations are forfeited without compensation.13. Privacy and Data Sharing
To operate the Program Fizen processes Personal Data including account information, transaction history, KYC information, IP address, device, location data and Reward redemption history. The Fizen Privacy Policy applies. Fizen may share with Partners providing Rewards (limited to minimum data necessary), tax authorities, sanctions/AML/fraud providers, and other recipients identified in the Privacy Policy.14. Disclaimers and Limitation of Liability
| THE PROGRAM, FIPOINT, PRE-LAUNCH $FIZEN ALLOCATIONS AND REWARDS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND. FIZEN DOES NOT WARRANT THAT THE PROGRAM WILL BE UNINTERRUPTED, ERROR-FREE OR AVAILABLE INDEFINITELY, THAT FIPOINT WILL ALWAYS BE EARNABLE OR REDEEMABLE, THAT PARTICULAR REWARDS WILL ALWAYS BE AVAILABLE, THAT THE PRE-LAUNCH $FIZEN ALLOCATION PATHWAY WILL BE MAINTAINED, THAT THE CONVERSION RATIO WILL NOT CHANGE, OR THAT TGE WILL EVER OCCUR. |

15. Jurisdiction-Specific Notes
- United States. FiPoint is not a security, money, stored value or gift card under U.S. law. U.S. Persons (Regulation S) are NOT eligible to redeem FiPoint for Pre-Launch $FIZEN Allocations and will NOT receive $FIZEN at TGE. The Program is void where prohibited by U.S. federal or state law.
- European Union. FiPoint is not e-money (Directive 2009/110/EC), not a financial instrument under MiFID II, not a ‘crypto-asset offered to the public’ under MiCA (Regulation (EU) 2023/1114). $FIZEN, if launched, may be a crypto-asset under MiCA and any required documentation will be made available at the time of TGE.
- United Kingdom. FiPoint is not e-money under UK EMRs 2011, not a regulated investment under FSMA. Communications about the Program are not financial promotions under section 21 FSMA. The Pre-Launch Allocation redemption pathway, where activated for UK residents, will be operated consistently with the UK cryptoasset-promotions regime.
- Hong Kong. FiPoint is not a virtual asset under AMLO, not a stored-value facility under PSSVFO, not a security under SFO.
- Singapore. FiPoint is not e-money, not stored value, not a digital payment token, not a capital-markets product under Singapore law.
