PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE FIZEN WALLET.THE FIZEN WALLET IS A NON-CUSTODIAL, SELF-HOSTED SOFTWARE WALLET. FIZEN DOES NOT HOLD, CONTROL, OR HAVE ACCESS TO YOUR DIGITAL ASSETS OR YOUR PRIVATE KEYS. YOU ARE SOLELY RESPONSIBLE FOR SAFEGUARDING YOUR PRIVATE KEYS, SEED PHRASES, PASSWORDS AND OTHER ACCESS CREDENTIALS. IF YOU LOSE THESE, FIZEN CANNOT RECOVER THEM, AND YOU WILL PERMANENTLY LOSE ACCESS TO YOUR DIGITAL ASSETS.THE USE OF DIGITAL ASSETS AND BLOCKCHAIN TECHNOLOGY INVOLVES SIGNIFICANT RISKS, INCLUDING THE RISK OF TOTAL LOSS. YOU SHOULD NOT USE THE FIZEN WALLET UNLESS YOU UNDERSTAND THESE RISKS AND HAVE THE FINANCIAL CAPACITY TO BEAR THEM.THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE, A CLASS-ACTION WAIVER AND A LIMITATION OF LIABILITY THAT MATERIALLY LIMIT YOUR RIGHTS. PLEASE READ THEM IN FULL.
By accessing, downloading, installing or using the Fizen Wallet, you confirm that you have read, understood and agreed to be bound by these Wallet Terms of Use (the “Terms”). These Terms supplement, and form part of, the Fizen Master Terms of Use. If you do not agree, you must not use the Fizen Wallet.
1. The Wallet Service
1.1 Description
The Fizen Wallet is a non-custodial software interface that allows you to: (a) generate one or more public addresses on supported Blockchains; (b) view balances and transaction history aggregated from supported Blockchains; (c) initiate, sign and broadcast transactions in supported Digital Assets to those Blockchains; (d) interact with Third-Party Services, including dApps, exchanges, on/off-ramp providers and smart contracts; (e) access in-Wallet swap and on/off-ramp functionality powered by third-party providers; and (f) use any other features Fizen makes available from time to time.
1.2 Non-custodial nature
The Fizen Wallet is a non-custodial wallet. Fizen does not act as a depositary, custodian, fiduciary, exchange, money transmitter, broker-dealer, investment adviser, or financial institution. Fizen does not hold customer funds, does not provide custodial services within the meaning of the Hong Kong Anti-Money Laundering and Counter-Terrorist Financing Ordinance, the Singapore Payment Services Act, the U.S. Bank Secrecy Act, the EU MiCA Regulation, the UK FSMA or equivalent legislation in any other jurisdiction. By using the Wallet you acknowledge that no banking, money-transmission, custody, brokerage or investment-advisory relationship is created between you and Fizen.
1.3 Supported Blockchains and Digital Assets
Fizen may add, remove, suspend or restrict support for any Blockchain or Digital Asset at any time, with or without notice. The fact that a Blockchain or Digital Asset is supported by the Wallet does not constitute an endorsement of that Blockchain or Digital Asset by Fizen, a representation as to its legal, regulatory, technical or financial status, or a recommendation that you transact in it.
1.4 Transactions on the Blockchain
When you initiate a transaction through the Wallet, the Wallet constructs and signs the transaction using your Private Key on your device, and then broadcasts the signed transaction to the relevant Blockchain. Once a transaction is broadcast and confirmed by the Blockchain it is, as a technical matter, irreversible. Fizen has no ability to reverse, cancel, recall, modify or refund any confirmed Blockchain transaction. You are solely responsible for verifying the accuracy of every transaction (including the recipient address, the amount, the network selected, the asset, the smart-contract destination and any approval scope) before signing it.
1.5 Network fees (gas)
Transactions on a Blockchain require the payment of network fees (often called “gas” or “miner fees”) denominated in the Blockchain’s native Digital Asset. Network fees are paid by you to the Blockchain’s validators, not to Fizen. Network fees vary with network conditions, are estimated by the Wallet on a best-efforts basis, and may differ from the actual fee charged. Fizen does not control, set, or have any role in the calculation or destination of network fees and is not responsible for failed transactions, delayed transactions or trapped funds resulting from incorrect, insufficient, or excessive network fees.
1.6 In-Wallet swaps and on/off-ramp
Where the Wallet offers a swap or on/off-ramp feature, that feature is powered by one or more Third-Party Services. Fizen aggregates quotes from third-party providers and surfaces them in the Wallet interface for your convenience. The actual swap or fiat-onramp transaction is executed between you and the third-party provider, on the third-party provider’s terms, with the third-party provider’s pricing, slippage tolerance, KYC and operational risk. Fizen is not the counterparty to your swap or fiat transaction, does not warrant the availability, price, execution quality, or completion of any swap or fiat transaction, and is not responsible for the conduct or solvency of any third-party provider.
1.7 dApp browser and Third-Party Services
The Wallet may include a dApp browser, a wallet-connect-style interface, or other functionality that enables you to interact with smart contracts and decentralised applications operated by third parties. Fizen does not develop, control, audit, endorse, monitor, screen or guarantee the security, accuracy, legality or performance of any dApp, smart contract or other Third-Party Service. Your interactions with Third-Party Services are entirely at your own risk, are governed by the terms of those Third-Party Services, and create no direct or indirect liability for Fizen. In particular, Fizen is not responsible for: (a) bugs, exploits or vulnerabilities in third-party smart contracts; (b) approvals you grant to smart contracts (including unlimited spending approvals, which may allow a malicious contract to drain your Wallet); (c) phishing dApps; (d) governance decisions, forks, rug pulls or token-economic decisions of any third-party project; or (e) any loss resulting from your interaction with any Third-Party Service.
2. Your Sole Responsibility for the Wallet
Fizen does not have, and has never had, access to your Private Key. Fizen cannot reset your Private Key, recover your Wallet, reverse a transaction, recover lost or stolen Digital Assets, freeze your Wallet, or move Digital Assets out of your Wallet.If you lose your Private Key (including by losing your device, forgetting your password, losing your backup, having your seed phrase stolen or compromised, or otherwise), Fizen cannot help you and you will permanently lose access to the Wallet and to all Digital Assets in it.It is solely your responsibility to (a) generate strong access credentials, (b) back up your seed phrase securely (preferably offline, in more than one physical location, and not in any cloud storage, screenshot or photograph that could be compromised), (c) keep your device free of malware, (d) keep the Fizen application up to date, (e) enable any additional security features Fizen makes available (such as biometric authentication, transaction signing prompts, anti-phishing word), and (f) never share your seed phrase, Private Key or password with any person — including any person claiming to be from Fizen, who will never ask for them.
3. Risk Disclosures
You acknowledge and accept that the use of the Fizen Wallet, Digital Assets and Blockchain technology involves significant risks, including the risk of total loss. The risks include, without limitation:
3.1 Market and price risk
Digital Assets are extremely volatile. Their value can fluctuate widely and rapidly, and may fall to zero. Fizen makes no representation or warranty as to the past, present or future value of any Digital Asset. Past performance is not indicative of future results.
3.2 Irreversibility risk
Transactions on a Blockchain are generally irreversible once confirmed. If you send Digital Assets to the wrong address, on the wrong network, in the wrong amount, to a malicious smart contract, or as a result of phishing or social engineering, Fizen cannot reverse the transaction or recover your Digital Assets.
3.3 Custody and access risk
If you lose your Private Key, your device, your backup, your password, or any other access credential, you will permanently lose access to your Wallet and the Digital Assets in it.
3.4 Cybersecurity risk
Your Wallet, your device and your network may be subject to attacks (including malware, phishing, SIM-swap, social engineering, supply-chain attacks, clipboard-hijack attacks and address-poisoning). You are solely responsible for the security of your device, network and credentials.
3.5 Smart-contract risk
Smart contracts may contain bugs, exploits, oracle failures, governance attacks or design defects that result in partial or total loss of Digital Assets. Audited smart contracts are not immune to attack.
3.6 Protocol and network risk
Underlying Blockchain protocols may experience congestion, downtime, forks (including contentious or hard forks), reorganisations, validator collusion, 51% attacks, MEV (maximal extractable value) attacks, censorship and other failures. Fizen is not obliged to support any fork, airdropped successor asset, or replacement chain.
3.7 Regulatory risk
The legal and regulatory treatment of Digital Assets, decentralised finance, stablecoins, NFTs and on-chain activity is uncertain and is changing rapidly. New laws, regulations, court decisions or regulatory actions in your jurisdiction or in any other jurisdiction may restrict, prohibit or significantly affect your ability to use the Fizen Wallet or to transact in particular Digital Assets.
3.8 Sanctions risk
Fizen screens transactions and addresses for sanctions and AML risk. Transactions involving sanctioned persons, sanctioned wallets or sanctioned jurisdictions may be blocked, delayed, reversed (where technically possible) or reported to competent authorities. You are solely responsible for ensuring your use of the Wallet does not violate any sanctions or AML law applicable to you.
3.9 No investment, tax or legal advice
Nothing Fizen makes available through the Wallet (including price displays, market data, transaction history, swap quotes, search results, educational content, push notifications, or in-app messaging) constitutes investment, financial, tax, legal, accounting or other professional advice.
4. Acceptable Use
You agree not to use the Fizen Wallet for any unlawful, fraudulent, deceptive, abusive or harmful purpose. Acceptable Use rules in the Fizen Master Terms of Use apply in full to your use of the Wallet, including the prohibitions on money laundering, terrorist financing, sanctions evasion, market manipulation, illegal gambling, illegal trade in regulated goods, unregistered securities offerings, and the use of VPN or proxy to evade geographic restrictions.
5. Compliance and Reservation of Rights
Fizen reserves the right, at any time and without prior notice where notice is impracticable, to: (a) refuse to surface or route any Wallet activity; (b) suspend or terminate your access to the Wallet; (c) request additional information or documentation from you (including identity documents, proof of source of funds, beneficial-owner information); and (d) report you and your activity to regulators, financial intelligence units, law-enforcement authorities and other competent authorities, in each case where Fizen reasonably believes such action is necessary to comply with Applicable Law, to detect or prevent fraud, money laundering, terrorist financing, sanctions evasion, or to protect the security or reputation of the Wallet.
Fizen has no ability to access, freeze or move Digital Assets in your non-custodial Wallet. The reservations of rights above relate to surfacing of features and access to the Fizen Platform, not to control of your on-chain assets.
6. Disclaimers and Liability
The Disclaimers, Limitation of Liability, Indemnification and time-bar provisions of the Fizen Master Terms of Use (clauses 13–14 and related) apply in full to your use of the Wallet. In particular, Fizen’s aggregate liability arising out of or relating to the Wallet is limited as set out in the Master Terms of Use; Fizen disclaims warranties of merchantability, fitness for purpose, accuracy, availability and non-infringement; and any claim must be filed within one (1) year after the cause of action accrues.
7. Dispute Resolution and Governing Law
The dispute-resolution mechanism (informal resolution → SIAC arbitration in Singapore), the class-action waiver, the jury-trial waiver, the Hong Kong governing law and the carve-outs (small-claims court; injunctive relief) of the Fizen Master Terms of Use clause 18 apply to disputes relating to the Wallet.
8. Miscellaneous
Save as expressly varied by these Wallet Terms, the provisions of the Fizen Master Terms of Use apply to your use of the Wallet. In the event of conflict, these Wallet Terms prevail in respect of the Wallet only.
